5. RIGHTS AND OBLIGATIONS OF THE PARTIES5.1. Client's Rights:
5.1.1. .Round-the-clock access to the server hosting the Site / Platform, except during maintenance periods.
5.1.2. Receive Services in accordance with the terms of this Agreement, in the volume and quality corresponding to the description of the selected Services Package, posted on the Site or Platform.
5.1.3. Independently make decisions regarding the application of actions and recommendations proposed by the Contractor within the Service provision. The Client bears responsibility for the consequences of independently applying such recommendations, especially if they are used without following the Contractor's instructions or if personal circumstances affecting their effectiveness are ignored.
5.1.4. Obtain prompt information from the Contractor on any issues related to Service provision by sending inquiries through the Site, Platform, or to the Contractor's email address (info@newlightconsult.com). The Contractor undertakes to provide a response to the request within a reasonable time not exceeding 7 working days.
5.1.5. Use of the Club's content and any other elements of the Site and Platform sections is possible only within the functionality offered by each respective section. No elements of the Site content, or any content posted on the Site / Platform (text, audio recordings, audiovisual works), may be used in any other way without prior permission from the Right Holder – the Contractor. Use includes, but is not limited to: reproduction, copying, processing, modification, distribution on any basis.
5.1.6. Use Services exclusively for personal, non-commercial purposes, except in cases where otherwise directly provided for in the terms of the selected Services Package and specifically agreed upon with the Contractor.
5.1.7. Declare refusal to use the Site and/or Platform content, as well as withdraw consent for publication of reviews or use of their images by sending a written notification to the Contractor at
info@newlightconsult.com.
5.1.8. Submit claims regarding the quality and volume of Services rendered within 3 calendar days from the moment of their provision (access to materials, event conduct). This period is considered sufficient to verify the quality and compliance of Services with the description. In the absence of claims during the specified period, the Services are considered accepted by the Client, and claims made after this period are not subject to satisfaction, except in cases where the identified deficiencies could not have been detected during the specified period.
5.2. The Client is prohibited from:
5.2.1. Modifying the software component of the Site or Platform in any way, or taking actions aimed at altering their functionality and operability. This includes any actions intended to interfere with the operation of the Site or Platform, their servers, domains, networks, software, or other technical support. It is forbidden to bypass technical restrictions established by the Contractor or use any methods that may harm the functionality or operability of the Site. Violation of this provision may result in liability under the UAE Cybercrimes Law (Federal Decree-Law No. 34 of 2021), as well as Russian legislation regulating information technologies and information protection (for example, Article 272 of the Criminal Code of the Russian Federation on unauthorized access to computer information).
5.2.2. Studying, decompiling, disassembling, or otherwise analyzing the technology of the Site or Platform, including the Contractor's intellectual property, as well as any materials included in the provided Services. These actions constitute a violation of the Contractor's intellectual property rights and are prohibited without the Contractor's prior written consent. This provision is based on the protection of intellectual property in accordance with UAE legislation.
5.2.3. Creating copies of the Site or Platform, including any elements of their design, intellectual property included in the Services, and external design. Any copying, reproduction, processing, or creation of derivative products based on materials provided by the Contractor is prohibited without its written permission. This condition is aimed at protecting the Contractor's commercial interests and is supported by both UAE and Russian Federation laws.
5.2.4. Providing access to the Club and any materials included in the Services under this Agreement to a third party. The Client undertakes not to provide their account credentials (login and password) to third parties and not to share personal access to materials. In the event of loss or unauthorized use of their data, the Client is obligated to immediately notify the Contractor by sending a letter to info@newlightconsult.com. Violation of this clause may result in suspension of Services and access restrictions.
5.2.5. Distributing, transferring to third parties, or otherwise using the content of the Site and Platform, Club, partially or completely. This applies to full or partial copying, distribution, or transfer of text, graphic, audiovisual, and other materials, including lectures, video recordings, and any other intellectual property objects. Content use is possible only within the functionality provided by this Agreement and exclusively for personal, non-commercial purposes. Any other use without the Contractor's permission will be considered a violation of intellectual property rights.
5.2.6. Selling or transferring the right of claim against the Contractor. Services and access rights provided under the Agreement are personal and are not transferable to third parties without the Contractor's consent.
5.2.7. Creating any chats, groups, public pages, sites (including on social networks, separate websites, on the Internet, in mobile device and computer applications, in messengers, etc.) for posting and/or discussing any materials provided to the Client as part of the Services under this Agreement, or for discussing the Services provided by the Contractor. Creating or attracting other Clients - Club participants - to a community.
5.2.8. Insulting the Contractor, spreading false information, or information that defames honor and dignity, or causing harm to the Contractor's business reputation, including distribution of such information (including publishing correspondence with the Contractor, its employees or representatives, posting negative reviews) on the Internet (on social networks, in messengers through any kind of mailings, etc.). Violation of this clause may lead to legal measures in accordance with UAE legislation, including norms on protecting honor and dignity (UAE Civil Code, Article 282) and Russian legislation (for example, Article 152 of the Civil Code of the Russian Federation on protecting honor, dignity, and business reputation).
5.3. The Client is obligated to:
5.3.1. Consume Services personally. Not transfer their account credentials (login, password) to third parties and ensure the confidentiality of passwords for accessing the Platform, special software, or other resources provided by the Contractor within Service delivery. This obligation is aimed at protecting the Contractor's exclusive rights to provided materials and Services. Any cases of password loss or unauthorized use by third parties must be immediately reported to the Contractor.
5.3.2. If cases of the Client providing access to Online Events or the Platform to third parties are identified, the Contractor has the right to completely block the Client's access to all educational materials and unilaterally refuse to provide Services under this Agreement, including those prepaid by the Client, and take all legal measures to protect its copyright and exclusive rights. In this case, no refund of funds paid by the Client will be made, which are considered a penalty in this instance.
5.3.3. Adhere to the established schedule of Club participation, the goals and essence of completing the Contractor's assignments, observe the timelines for mastering the educational program (complete assignments according to the schedule), follow the recommendations and requirements of the Contractor within the Service provision under this Agreement, and ensure direct personal participation in accordance with the purchased Services.
5.3.4. Maintain discipline and generally accepted behavioral norms, particularly by showing respect to the Contractor's representatives, the Contractor, and other Clients, not encroaching on their honor and dignity, avoiding aggressive behavior during Service provision, and not interfering with the Contractor's representative or other Clients during Service provision/receipt.
5.3.5. Independently familiarize themselves on the Contractor's Site with information about the terms, description, and conditions of Service provision. If the Client has questions about the provided Services or their provision conditions, they must contact the Contractor via email (info@newlightconsult.com). The absence of communications from the Client indicates that they have reviewed and agreed to the description and conditions of Services provided on the Site or Platform.
5.3.6. During and after Club participation, comply with Russian Federation legislation on intellectual property, its protection, and bear responsibility for its violation. The Client unconditionally acknowledges the obligation not to infringe on the intellectual activity results belonging to the Contractor, commits to participating in the Club exclusively for personal purposes, and will not use the acquired knowledge and skills subsequently for training, consulting, informing other people, or in similar commercial projects.
5.3.7. Provide complete and accurate data when entering into relationships related to the execution of this Agreement. In the event that the data provided by the Client proves to be inaccurate or incomplete, the Contractor is not responsible for possible consequences, including the transfer of information to third parties due to incorrect data provided by the Client.
5.4. The Contractor is entitled to:
5.4.1. Engage third parties in service provision.
5.4.2. Refuse to provide Services to the Client if payment for the selected Service is not received within the timeframes established on the Site.
5.4.3. Refrain from initiating Service provision, or if such performance has begun, suspend service provision and terminate the Client's access to Services in the presence of any of the following grounds:
5.4.3.1. Provision of incomplete and/or inaccurate information about the Client;
5.4.3.2. Client's violation of payment terms or other conditions of Services under this Agreement;
5.4.3.3. Client's violation of paragraphs 5.2 and 5.3 of the Offer.
5.4.4. Modify the terms of this Offer unilaterally, without prior consultation with the Client, while ensuring publication of the modified conditions on the Site at least one day before their implementation. If the new conditions change the cost or other essential terms of the Agreement, Clients who entered into relations with the Contractor under the terms of the Offer in the previous edition continue to operate under the terms they have accepted.
5.5. Contractor's Obligations:
5.5.1. Provide Services paid for by the Client of appropriate quality and volume within the timeframes established on the Site.
5.5.2. Ensure protection of the Client's personal data, using them exclusively for fulfilling obligations under this Agreement and in accordance with the Personal Data Processing Policy. The Contractor is not entitled to transfer data to third parties without the Client's consent, except in cases provided for by current legislation.
6. SERVICE COST AND PAYMENT PROCEDURE6.1. The cost of the provided Services is determined unilaterally by the Contractor in Russian Rubles. The Contractor has the right to unilaterally change prices (Tariffs) for the provided Services. Information about price changes is published on the Contractor's Site. The date of entry into force of new prices and payment terms is considered the date of their publication on the Contractor's Site.
6.2. The cost of Services under this Agreement depends on the cost of the Services Package chosen by the Client. Information about the cost of Services and Service Packages is determined unilaterally by the Contractor in US Dollars (USD) or UAE Dirhams (AED) and published on the Contractor's Site. In this case, payment for the services is made in Russian Rubles at an amount equivalent to the cost, calculated at the official exchange rate of the Central Bank of the Russian Federation on the payment date. The Contractor has the right to unilaterally change prices (Tariffs) for the provided Services.
6.3. Payment for services under this Agreement is made by the Client in the amount of 100%, in a single payment, by non-cash transfer to the Contractor's settlement account specified in this Offer, through payment systems, electronic money using electronic payment services according to the rules of the corresponding electronic payment services and processing companies, and other methods specified by the Contractor in the corresponding section of the Site (including bank installment or installment organized by a third party). When making international payments, currency conversion occurs as follows: for clients from the Russian Federation, conversion from USD/AED to rubles is made at the exchange rate of the Central Bank of the Russian Federation at the time of payment; for international clients, payment is accepted in USD or AED, conversion (if required) is carried out at the rate of the acquiring bank or payment system at the time of the transaction. All currency conversion fees are paid by the Client in addition to the cost of Services. Information about the applied conversion rate and possible commissions is displayed to the Client before the payment is made.
6.4. The moment of payment is considered to have occurred from the moment funds are received to the Contractor's settlement account or to the account of a third party authorized by the Contractor to organize installment or accept payment. The Client undertakes to keep all documents confirming the payment until the funds are credited to the Contractor's settlement account. If funds from the Client have not been received to the Contractor's settlement account within the established time and/or in the established amount, the latter has the right not to begin or to terminate the provision of Services.
6.5. For international clients, payment is made through an authorized Agent authorized by the Contractor to accept payments. After receiving the funds, the Agent shall issue an electronic receipt or other document confirming payment, in accordance with the requirements of the legislation of the Agent's country of location, as well as international financial reporting standards. The document is sent to the Client's email address specified during registration.
6.6. For clients from the Russian Federation, the Contractor, in accordance with Federal Law No. 54-FZ of 22.05.2003 "On the Use of Cash Register Equipment in Settlements in the Russian Federation" (as amended and supplemented, effective from 01.07.2023), through an authorized Agent, issues a cash receipt to the Client in electronic form. The cash receipt is sent to the Client's email address specified during registration, and the data is also transmitted to tax authorities using cash register equipment belonging to or used by the Agent.
6.7. Payment under this Agreement may be made on the basis of an automatic recurrent payment in accordance with the conditions and information specified on the Site or Platform. To make an automatic recurrent payment, the Client agrees to the conditions provided in Appendix No. 1 to this Offer. The amount of the automatic recurrent payment is determined and changed by the Contractor unilaterally. The term (interval) of the automatic recurrent payment is determined and changed by the Contractor unilaterally.
6.8. The Client has the right to pay for services without using automatic recurrent payment.
6.9. The Client has the right during the paid period of the current tariff to switch to a higher-level tariff (hereinafter - "New Tariff"). To do this, the Client submits a request through electronic communication channels specified in this Agreement, including email (info@newlightconsult.com), or through the Personal Account on the Contractor's Platform. The request must contain the following data: full name of the Client, contact details (phone or email if required), name of the current tariff and name of the New Tariff to be switched to. The Client is responsible for the accuracy of the provided data. If incomplete or incorrect information is provided, the Contractor may suspend the transition process until deficiencies are corrected.
6.10. The additional payment for switching to the New Tariff is calculated as the difference between the cost of a full month of the current tariff and the cost of a full month of the New Tariff. The cost of the current tariff for calculation purposes is fixed on the date of its payment. In addition to the additional payment, bank fees, currency conversion expenses, and/or taxes provided by the Client's country legislation may be charged. All fees related to payment transactions are paid by the Client, unless otherwise provided by the terms of this Agreement.
6.11. Transition to the New Tariff is possible only after the Client makes an additional payment for the difference between tariff costs. The New Tariff is activated after the Contractor receives payment and sends a corresponding notification to the email address specified by the Client during registration. The Contractor is not responsible for activation delays caused by technical failures on the Client's side or third parties, including payment systems.
6.12. The Client also has the right during the paid period of the current tariff to switch to a lower-level tariff (hereinafter - "Basic Tariff"). To do this, the Client submits a request through electronic communication channels specified in this Agreement, including email (info@newlightconsult.com), or through the Personal Account on the Contractor's Platform. The request must contain the following data: full name of the Client, contact details (phone or email if required), name of the current tariff and name of the Basic Tariff to be switched to. The Client is responsible for the accuracy of the provided data.
6.13. Reverse transition to the Basic Tariff is carried out without refunding funds paid for the current tariff. The cost of paid services for the current tariff remains unchanged, and no recalculation of the difference between tariffs is made. The Contractor reserves the right to limit the Client's access to additional services included in the current tariff that are not provided in the Basic Tariff.
6.14. Reverse transition is activated after the Contractor receives and processes the Client's request, which the Contractor notifies the Client about via the email specified during registration. The Contractor may refuse the transition to the Basic Tariff if the Client has violated the terms of this Agreement, including in terms of payment or provision of incorrect data.
6.15. Services under the New Tariff are considered rendered from the moment of providing access to materials and services included in this tariff. Regardless of the actual use of the provided access, services are considered properly executed, which is consistent with the provisions of this Agreement.
6.16. After payment made by the Client, the cost of paid Services for the current tariff is not subject to change. Transition to a higher tariff is carried out exclusively by paying additional funds for access to additional services included in the New Tariff. The additional payment does not modify previously paid services but covers the difference in tariff costs.
6.17. The Contractor has the right to establish various discounts on the cost of services and special offers for the cost of Services that are valid for a limited time. In this case, the Client agrees to the terms of special offers by expressing their acceptance by paying for Services at a special price (with a discount). Information about discounts, special offers, and their validity period is posted by the Contractor on the Site or brought to the Client's attention through telephone conversations, or sent to the Client in the form of a letter offering to purchase the Contractor's Services on special terms. If the discount or special offer expires, the Client is not entitled to demand that the Contractor conclude a contract with them on special terms. In any case, the cost of Services is determined on the date of their payment by the Client. If the Client did not use the discount or special offer and presented requirements for reimbursement of the price difference, the Contractor does not satisfy this requirement because the Client's actions at the time of service payment during the discount or special offer period do not depend on the Contractor.
6.18. The Client, if such a service is available, has the right to use installment payment provided by partner banks. In this case, the Contractor does not enter into financial and credit relations with the Client and does not act as the Client's creditor. At the same time, the obligation to pay interest to the bank for installment is assumed by the Contractor. The amount of installment interest depends on the period for which it is provided. In the event of early termination of the Agreement at the Client's initiative, the amount of interest paid by the Contractor to the bank for the installment provided to the Client is included in the cost of actually incurred expenses and is withheld when calculating the amount subject to return.
6.19. The cost of Services does not include any fees charged by banks and/or payment systems for processing the payment.
6.20. The Parties establish that under any circumstances, the amount of the Client's losses under the Agreement cannot exceed the amount of the final payment actually made by the Client for Services.
6.21. The Contractor, being a tax resident of the UAE, independently calculates and pays all taxes established by UAE legislation from the received remuneration. The cost of Services for clients from the UAE includes VAT of 5% and corporate tax of 9%. For clients from other countries, the final cost of Services may include additional taxes, which are calculated and added automatically by the payment agent in accordance with the requirements of the Client's country legislation at the time of payment. The Client sees the final cost of Services with all applicable taxes before the payment.
7. REFUND PROCEDURE7.1. All statements regarding fund returns are accepted in writing to the Contractor's email address: info@newlightconsult.com. The statement must be filled out by the Client personally, with the Client's personal signature, then scanned and sent with the subject line "Refund Statement". The mandatory items for a refund statement include:
7.1.1. Addressee name and applicant details (full name, passport data, residential address, phone number, email address)
7.1.2. Amount of paid Services and payment information (date, order identifier, order amount, payment method, electronic address used for product order)
7.1.3. Reasons for requesting a refund and detailed substantiation of the claim
7.1.4. Bank details for fund transfer (recipient's account number, bank name, correspondent account, bank identification code, tax registration reason code, recipient's full name). These details must match the account from which the Client originally paid for the Contractor's service
7.1.5. Attachments (payment document, passport copy), date, signature and decipherment
7.1.6. Date of statement submission
7.2. The refund statement must be accompanied by a photocopy (scan) of the applicant's identity document and a scan of the payment document confirming payment.
7.3. The decision on refund or refund denial is made by the Contractor within thirty days from receiving the corresponding Client's statement.
7.4. Funds are returned to the Client's account from which the Service(s) were originally paid, as indicated in the refund statement, within ten days after the return decision is made.
7.5. Funds paid for providing Access to the Club (license) in the current reporting period are not subject to return. The Client receives a refund minus the cost of actually rendered services (such as materials to which the Client was granted access) and the Contractor's actual expenses (taxes, fees, bank commissions, payments to employees and contractors, etc.).
7.6. In cases where the refund is for a Service or Service Package purchased with a discount (special offer), the Service cost is determined as of the date of Client's original payment. For clients from the Russian Federation, the refund is made in Russian Rubles at the Central Bank of Russia exchange rate on the refund date. For international clients, the refund is made in the payment currency (USD or AED).
7.7. The Contractor does not bear expenses related to transferring funds to the Client - the refund is made to the payer's details, with deduction of commissions from banks, credit institutions, and corresponding payment systems for service payment processing.
7.8. The Contractor is not responsible for the timing of funds arrival to the Client's account. The Contractor's obligation is considered fulfilled at the moment (date) of transferring funds to the Client within the specified period.
7.9. Refund conditions may be additionally adjusted depending on mandatory norms of local service provision legislation.
7.10. For international clients, returns are regulated by applicable legislation, including consumer protection norms, and take into account local taxes and fees.
8. LIABILITY8.1. The Client assumes full responsibility and risks associated with using information and materials provided by the Contractor within the framework of fulfilling its obligations under this Agreement. The Contractor does not guarantee that the content of Services provided under this Agreement will meet the Client's expectations. The Contractor is not responsible for the Client achieving the desired result, as this depends on the duration and regularity of the Client's training, their individual characteristics and personal qualities, and the quality and speed of assimilation/implementation of knowledge and materials received from the Contractor.
8.2. The Contractor is not liable for the impossibility of providing Services to the Client due to reasons related to disruptions in internet systems, equipment, or software on the Client's side, or for any other reasons preventing the Client from receiving Services that do not arise from the Contractor's fault.
8.3. In the event of the Client's violation of paragraphs 5.2 and 5.3 of this Agreement, the Contractor has the right to terminate the Agreement with the Client. Termination occurs by notifying the Client via email specified when filling out the Service Request on the Contractor's Site. Funds paid to the Contractor may be retained as compensation for losses and expenses incurred by the Contractor. The retained amount will be proportionate to the violation and expenses incurred.
8.4. The Contractor is not responsible for the actions of banks, electronic payment systems ensuring payment and refunds when executing this Agreement. The Contractor is also not liable for the impossibility of providing services to the Client for reasons beyond the Contractor's control, namely: disruption of Internet operation, equipment, or software on the Client's side, failures in email distribution services, including when the Contractor's emails end up in the "Spam" folder. In this case, the services are considered properly rendered and subject to full payment.
8.5. The Client confirms that disagreement with the Contractor's opinion, methodology, and content of Services is not grounds for refund or quality claims.
8.6. In the event of disputes, the Parties shall take all measures to resolve them through negotiations. If an agreement cannot be reached, disputes shall be resolved in the DIFC-LCIA Arbitration Center in Dubai, in accordance with the DIFC-LCIA rules, in the English language, by three arbitrators appointed according to the specified regulations.
8.7. In the event of violation of other terms of this Agreement, the Parties shall be liable in accordance with the current legislation of the United Arab Emirates.
9. FINAL PROVISIONS9.1. Electronic document management using email addresses specified by the Contractor in this Agreement and indicated by the Client when filling out the Service Request is recognized by the Parties as legally significant and having the force of documents on paper carriers in accordance with the UAE Federal Law No. 46 of 2021 "On Electronic Transactions and Trust Services".
9.2. The Contractor has the right to withdraw the offer in accordance with UAE legislation. In the event of withdrawal of this offer, the Agreement is considered terminated from the moment of such withdrawal. The withdrawal is carried out by placing the corresponding information on the Site with mandatory notification of the Client by sending an email at least 10 days before the proposed withdrawal date.
9.3. The Contractor has the right to modify or supplement the Offer terms by publishing changes on the Site. When making significant changes, the Contractor undertakes to notify the Client by sending an email at least 10 days before the changes take effect. If the published changes are unacceptable to the Client, they must notify the Contractor in writing within 10 days from the moment of publication of the changes.
9.4. If no notification is received, it is considered that the Client continues to participate in contractual relations with the Contractor under the new conditions. In this case, the cost of paid services is not subject to change.
9.5. For all issues not regulated by the Agreement, the parties are guided by the current legislation of the United Arab Emirates. All disputes and disagreements are subject to consideration in the DIFC-LCIA Arbitration Center in accordance with its regulations. A pre-trial claim procedure is mandatory, with a claim review period of 30 calendar days.
9.6. The invalidity of individual provisions of this Agreement does not entail the invalidity of the entire Agreement. In the event that any provision of the Agreement is found to be invalid, the Parties undertake to agree on a legally valid provision that is as close in meaning as possible to the one found to be invalid.
9.7. This Agreement is valid in the territory of all countries of the world and in the information network Internet, taking into account the restrictions established by UAE legislation and international agreements.
9.8. All materials, access to which is provided to the Client by the Contractor when rendering services in accordance with the Offer, are objects of copyright and exclusive rights. Information to which the Client gains access, as well as transmitted and/or sent to the Client within the framework of Services provided by the Contractor, is intended only for the Client, is confidential, protected by the provisions of current copyright legislation, and without additional agreements or official written consent of the Contractor cannot be copied, transferred to third parties, reproduced, distributed, forwarded, published in electronic form or on paper carriers.
9.9. Any violation of the terms of use of materials and information, including their unauthorized copying, distribution, modification, or other use, will be considered a violation of copyright and will entail liability in accordance with the current legislation of the UAE, including, but not limited to, civil, administrative, and criminal liability.
